Terms of Service
How we work together. What you get, what we charge, what happens if things change. Plain language, no legalese.
1. Services
KERNEL | STUDIO provides web design and development services. The scope, timeline, and price of each project are agreed upon in writing before work begins. We reserve the right to decline any project at our discretion.
2. Payment
Projects require a 50% deposit before work begins. The remaining 50% is due upon project completion before final delivery. For retainer agreements, payment is due at the start of each month. All prices are in EUR unless otherwise agreed.
3. VAT
All prices are in EUR and exclude VAT. Swedish VAT (25%) applies to clients within Sweden. For EU clients outside Sweden, the reverse-charge mechanism applies under EU VAT directive.
4. Intellectual property
Upon receipt of full payment, the client owns all rights to the final delivered work. KERNEL | STUDIO retains the right to showcase the project in our portfolio unless explicitly agreed otherwise in writing.
5. Revisions
Each project includes a reasonable number of revision rounds as specified in the project agreement. Additional revisions beyond the agreed scope will be billed at our hourly rate of €35/hr.
6. Timeline
Estimated timelines are provided in good faith. Delays caused by late client feedback, missing content, or scope changes are not the responsibility of KERNEL | STUDIO.
7. Limitation of liability
KERNEL | STUDIO is not liable for any indirect, incidental, or consequential damages arising from the use of delivered work. Our total liability is limited to the amount paid for the specific project.
8. Force majeure
Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including but not limited to illness, technical failures, or natural events.
9. Termination
Either party may terminate a project agreement with 14 days written notice. In case of termination, the client pays for all work completed to date. The deposit is non-refundable.
10. Governing law
These terms are governed by the laws of Sweden. Any disputes will be resolved in the competent courts of Sweden.
